ARTICLE VII
LOCAL FOUNDATION

Section 7.1 Local Foundation Board. Each Local Foundation Board shall be free to operate publicly under an appropriate trade name registered by the Corporation. Each Local Foundation Board is authorized to exercise full discretion regarding the use of all contributions and gifts made by donors in support of the CHI Colorado facility supported by the Local Foundation.

Foundation Board and Staff Members

The Local Foundation Board members are nominated for approval by a local nominating committee established by the Local Foundation Board and approved by the Corporation's Board. Local Foundation Board members may be removed with or without cause at any time by the Board. The Chair of the Local Foundation Board shall be elected by the Local Foundation Board and shall serve for a two (2) year term. Membership on each Local Foundation Board shall be for a three (3) year term, with one-third of the committee nominated annually. No more than three (3) consecutive terms are permitted without a one (1) year period intervening before another term may begin. Ex officio membership with voice and vote on the Local Foundation Board will include the local Facility CEO and the local CDO. The Local Foundation Board shall meet no less frequently than quarterly and shall have at least five (5) but not more than twenty-one (21) members.
